Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and AI Speakly, LLC, a Florida limited liability company doing business as SpyPublic ("SpyPublic," "Company," "we," "us," or "our").

By accessing or using SpyPublic (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms apply to all users, including subscribers, trial users, and visitors.

2. Description of Service

SpyPublic provides a property data research platform. The Service aggregates and makes searchable information obtained from public records and licensed third-party data sources, including property ownership records, owner contact information, mortgage and lien records, property characteristics, valuation estimates, and area-level data.

The Service is provided on a subscription basis. Features, data sources, record allowances, and pricing are subject to change with reasonable notice.

SpyPublic is a research and data access tool. It is not a lead provider, a CRM, a marketing platform, or a consumer reporting agency.

3. Not a Consumer Reporting Agency; FCRA Restrictions

You expressly agree that you will not use the Service, or any information obtained through it, in whole or in part, as a factor in determining eligibility for:

• Credit or insurance underwriting
• Employment, promotion, reassignment, or retention
• Housing, tenancy, or tenant screening
• Educational admission or financial aid
• Government licenses or benefits
• Any other purpose enumerated under the FCRA

You further agree not to use the Service for stalking, harassment, identity theft, or any purpose prohibited by the Driver's Privacy Protection Act, the Gramm-Leach-Bliley Act, or any other applicable federal or state law.

Violation of this Section is a material breach and grounds for immediate termination without refund. You are solely liable for any claims arising from your prohibited use.

4. Data Accuracy Disclaimer

Information provided through the Service originates from public records, government filings, and third-party data providers. We do not create, verify, or independently confirm this information.

Public records and third-party data routinely contain errors, omissions, duplicate entries, and outdated information. We make no representation or warranty that any information is accurate, complete, current, or applicable to a particular individual or property. You are responsible for independently verifying any information before relying on it.

Record counts, match rates, and data coverage vary by county, state, and data type, and are not guaranteed.

5. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account.

Accounts are for a single user. You may not share, sublicense, or provide access to your account to any third party. Additional users require additional subscriptions.

6. Subscription, Billing, and Record Allowances

Access requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Authorize us to charge your payment method on a recurring basis
• Notify us of any changes to your payment information

Monthly subscription fees are charged at the beginning of each billing period.

Record allowances. Your plan includes a monthly allowance of record lookups as described at the time of purchase. Unused records do not roll over to the following period. Records consumed are not refundable. Exceeding your allowance may require an upgrade or the purchase of additional records.

Data type restrictions. Certain data types are available for viewing within the platform but are not available for export on all plans. Export availability by plan is described at the time of purchase.

7. Permitted Use and Data License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to use data obtained through the Service for your own internal business purposes only.

You may not:

• Resell, sublicense, republish, redistribute, or otherwise make available data obtained through the Service to any third party
• Use the data to build, train, populate, or supplement any competing database, product, or service
• Use the data to train machine learning or artificial intelligence models
• Scrape, crawl, harvest, or use any automated means to access or extract data from the Service
• Exceed your record allowance through any technical workaround
• Access the Service through any interface other than those we provide
• Reverse engineer, decompile, or disassemble the Service

We monitor account usage. Usage patterns indicating automated extraction, allowance circumvention, or account sharing may result in throttling, suspension, or termination without refund.

8. Acceptable Use and Outreach Compliance

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, threaten, stalk, abuse, or harm any individual
• Impersonate any person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service

Outreach compliance. If you use contact information obtained through the Service to call, text, email, or mail any individual, you are solely responsible for compliance with the Telephone Consumer Protection Act ("TCPA"), the National Do Not Call Registry and applicable state do-not-call lists, CAN-SPAM, state telemarketing and consent statutes, and all other applicable laws.

SpyPublic does not place calls, send messages, or conduct outreach on your behalf. We provide information. How you use it, and whether that use is lawful, is entirely your responsibility. We make no representation that any contact information in the Service has been screened against do-not-call lists or that any individual has consented to be contacted.

9. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Upon cancellation, access terminates at the end of the paid period.

Saved lists and exported data are your responsibility to download before cancellation. We are not obligated to retain or provide access to your saved content after termination.

10. Refund Policy

Refunds are evaluated on a case-by-case basis and may be issued only under the following conditions:

Good Faith Use. The subscriber has demonstrated a good faith attempt to use the platform as intended. A good faith attempt means reasonable effort and time invested in using the Service's core functions, including performing searches, applying filters, building lists, and exporting data. Accounts showing minimal or no search activity during the billing period do not meet this standard.

System Malfunction. A verifiable technical failure that materially impairs your ability to use the Service's core functions, and that remains unresolved more than ten (10) business days after being reported to support.

For purposes of this Section, a "system malfunction" is limited to:

• Significant platform downtime or unavailability
• Reproducible software errors or visible defects
• Core features that fail to execute or are materially limited in operation (e.g., searches that return errors, exports that fail to generate)

A system malfunction does not include:

• Data accuracy issues, including incorrect, outdated, missing, or unmatched records. Data is sourced from third parties and public records, and accuracy is expressly disclaimed under Section 4.
• Low match rates, thin coverage, or limited record availability in a particular county, state, or data category
• Results that differ from your expectations, preferences, or business outcomes
• Failure to generate leads, appointments, deals, or revenue from data obtained through the Service
• Issues caused by your settings, inputs, filters, third-party integrations, browser, or internet connection
• Temporary slowdowns or interruptions that do not materially impair core functionality

Whether a reported issue constitutes a system malfunction is determined by SpyPublic in its reasonable discretion, based on verifiable technical evidence.

Refund requests that do not meet either condition above will not be approved. Records consumed during the billing period are non-refundable in all cases.

11. No Guarantee of Results

SpyPublic is a data research tool. We make no guarantee, representation, or warranty regarding:

• The number or quality of opportunities you identify
• Contact rates, response rates, or conversion rates
• Any business, financial, or investment outcome

Any examples, case studies, or figures presented in our marketing are illustrative and do not constitute a guarantee of results. Your outcomes depend on your own effort, skill, market conditions, and factors outside our control.

12. Intellectual Property

The Service and its original content, features, functionality, interface, and compilation of data are owned by AI Speakly, LLC and are protected by copyright, trademark, and other intellectual property laws. Underlying public records are not owned by us; our rights extend to the compilation, organization, and presentation of that information.

You retain ownership of lists, notes, and content you create within the Service. You grant us a limited license to use such content solely to provide and improve the Service.

13. Third-Party Data Providers

Portions of the data available through the Service are licensed from third-party providers. Those providers may impose additional restrictions on use, and those restrictions are incorporated into these Terms by reference where applicable. Availability of any particular data source may change or be discontinued if a provider relationship changes.

14. Disclaimer of Warranties

THE SERVICE AND ALL DATA PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, OR CURRENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI SPEAKLY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY DATA OBTAINED THROUGH IT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless AI Speakly, LLC and its officers, directors, members, employees, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or any data obtained through it
• Your outreach to any individual identified through the Service
• Your violation of these Terms
• Your violation of the FCRA, TCPA, or any other applicable law
• Your violation of any third-party rights

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Duval County, Florida, or by videoconference at the arbitrator's discretion.

Class action waiver. You and SpyPublic each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

18. Termination

We may suspend or terminate your account immediately, without notice or refund, if you breach these Terms, particularly Sections 3, 7, or 8. We may also terminate or modify the Service with reasonable notice.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

20. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.
